AOL APPOINTS HUGH F. JOHNSTON TO BOARD OF DIRECTORS

New York, NY, September 19 – AOL Inc. (NYSE: AOL) today announced the appointment of Hugh F. Johnston, Executive Vice President and Chief Financial Officer of PepsiCo, to AOL's Board of Directors. Johnston brings more than 25 years of finance and general management experience to AOL's Board, including M&A, marketing, finance and strategy positions at PepsiCo and Merck Medco.

As previously announced, AOL has an active search for independent Board members. Hugh compliments the AOL Board's leadership, which spans media, internet/technology, brands and finance.

About Hugh F. Johnston
Mr. Johnston, 51, has served as Executive Vice President and Chief Financial Officer of PepsiCo since 2010. In his current role, he is responsible for providing strategic financial leadership; ensuring PepsiCo's capital structure, financial systems and controls; and forecasting models that will support the company's growth and expansion. As a member of the executive leadership team, Johnston also builds financial infrastructure, oversees risk management, and upholds PepsiCo's finance and accounting policies and procedures. Johnston joined PepsiCo in 1987 and has held a number of increasing leadership roles, including Executive Vice President, Global Operations; President, Pepsi-Cola North America; Senior Vice President, Transformation; and Senior Vice President, Mergers and Acquisitions. Johnston left PepsiCo from August 1999 through March 2002 to pursue a general management role as VP, Retail, at Merck Medco, leading the company's retail pharmacy card business. He holds a master of business administration degree from the University of Chicago and a bachelor's of science degree in finance from Syracuse University.
